Outside General Counsel

Clay Cheshire and the Firm serve as outside general counsel to companies, advising them on matters involving contracts and other commercial transactions, corporate structure and governance, finance, employment issues, taxation, government regulations, and various other matters, and engage and manage other outside counsel for guidance with highly-specialized issues. In this role, the Firm serves as the “go-to” for its business clients. We develop close relationships with management and key personnel and learn our clients’ business, allowing us to advise them from an insider’s perspective.

Advise clients in entity formation and structure, governance (operating agreements, shareholders’ agreements, by-laws, rules and regulations, standard operating procedures), and ongoing regulatory compliance

Advise clients in various types of commercial transactions, including asset purchases and sales, stock purchases and sales, and mergers

Advise clients with regard to various types of contractual relationships, including franchise agreements, management agreements, and joint venture agreements

Advise companies and key employees/executives with regard to executive employment/compensation agreements and restrictive covenant agreements

Advise clients on a wide array of property rights matters, including those involving rights-of-way and easements, particularly for telecommunications/fiber-optic lines, electric transmission and distribution lines, natural gas pipelines, and water pipelines

Clay Cheshire and the Firm currently serve as outside general counsel to:

A major entertainment design and production company (including design, fabrication, delivery, set-up, production, etc. for everything from major theme parks to trade shows and concerts) that does business worldwide

A restaurant franchisor that previously built a well-known restaurant franchise to 280 stores before selling it to start a new venture

Clay Cheshire formerly served as outside general counsel to:

A telecommunications company that owns a 12,000 mile fiber-optic network and provides services to private and public entities in Georgia, Florida, and Tennessee
